Lord A. Villanueva has acted as legal counsel for reputable multinationals, including several Fortune 500 companies, in respect of corporate and commercial law. His expertise includes mergers & acquisitions; project finance; private equity; power, water and energy; environment and natural resources; infrastructure and real property; offshore structuring and anti-money laundering compliance.
He has played a key role in many multi-million dollar transactions. For example, he advised a Chinese state-owned company, one of the largest corporations in the world, in its USD4 Billion acquisition of an equity interest in the Philippine power transmission grid, one of the largest foreign investments in Philippine history. He managed the due diligence team and assisted in negotiations with the Philippine government in relation to major project documents.
He also advised a private equity firm managing Kuwaiti sovereign wealth, in a deal valued at USD1 Billion, for the construction of a 180-hectare aerotropolis in Clark Airport, northern Philippines. He negotiated with Clark Airport and prepared major project documents; and assisted with regard to the economic incentives under special economic zones.
He also advised a London Stock Exchange-listed mining firm in its construction and development of a major gold project in the northern Philippines with an estimated total gold reserve of over USD1 Billion.
He graduated from the University of the Philippines College of Law in 2002, earning the Dean’s Medal for Academic Excellence. In the same year, he joined the Manila office of the global law firm Baker & McKenzie, where he was part of the firm’s Corporate Commercial and Energy, Mining and Infrastructure Group. He joined FAD in 2011, and continues to defend the interests of FAD’s corporate clients with his pragmatic and efficient approach to the law.
